Coin Nerds Terms of Service
Effective Date: February 16, 2026
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "user") and the applicable Coin Nerds entity identified in Section 2 below ("Coin Nerds", "we", "us", "our"). These Terms govern your access to and use of the Coin Nerds websites located at coinnerds.com, any related APIs, mobile applications, and all associated services (collectively, the "Services").
By creating an account, accessing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.
These Terms contain important provisions including a binding arbitration clause and class action waiver for US residents (Section 22), limitations of liability (Section 17), and assumption of risk (Section 16). Please read them carefully.
2. Contracting Entity
The Coin Nerds entity with which you are contracting depends on your country of residence:

3. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
- Have the legal capacity to enter into a binding agreement;
- Not be a resident of, or located in, any country, territory, or region that is subject to comprehensive sanctions imposed by the United States (Office of Foreign Assets Control), the United Kingdom, the European Union, the United Nations, or Canada;
- Not be listed on any sanctions list maintained by OFAC, the UK Office of Financial Sanctions Implementation, the EU, the UN Security Council, or Global Affairs Canada;
- Not have been previously suspended or removed from our Services; and
- Comply with all applicable laws and regulations in your jurisdiction relating to the use of our Services.
If you are accessing our Services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, that the entity is duly organized and validly existing under the laws of its jurisdiction of organization, and that you have provided all required information about the entity's beneficial owners.
4. Account Registration and Verification
To access certain Services, you must create a Coin Nerds account. When you register, you agree to:
- Provide accurate, current, and complete information as requested during the registration process;
- Maintain and promptly update your account information to keep it accurate, current, and complete;
- Maintain the security and confidentiality of your login credentials and not share them with any third party;
- Notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account; and
- Accept responsibility for all activities that occur under your account.
As a regulated financial services provider, we are required by law to verify your identity before providing certain Services. You agree to provide all information and documentation requested to complete our know-your-customer ("KYC") and anti-money laundering ("AML") verification procedures, which may include government-issued identification, proof of address, biometric verification (facial imagery via selfie or liveness check), source of funds documentation, and any other information required by applicable regulations. We may use third-party identity verification services to perform these checks. Failure to provide requested information may result in the restriction, suspension, or termination of your account.
We reserve the right to refuse account registration, or to restrict, suspend, or terminate existing accounts, at any time and for any reason, including where we reasonably believe that account activity may violate these Terms, applicable law, or our internal policies.
5. Description of Services
Coin Nerds provides the following Services, subject to eligibility, verification, and applicable law:
- Cryptocurrency Trading: The ability to buy and sell cryptocurrency using fiat currency (such as USD, CAD, GBP, and other supported currencies) and to exchange one cryptocurrency for another.
- Foreign Exchange: Currency conversion and foreign exchange services between supported fiat currencies.
- Money Transfer: The ability to send and receive money transfers domestically and internationally, subject to applicable money transmission licensing requirements.
- Market Data: Access to real-time and historical cryptocurrency price data, market information, and related analytics.
The availability of specific Services may vary by jurisdiction based on applicable licensing and regulatory requirements. We reserve the right to modify, suspend, or discontinue any Service or feature at any time, with or without notice, subject to applicable law.
6. Fees and Charges
You agree to pay all applicable fees and charges associated with your use of the Services. Fee structures vary by Service and may include transaction fees, spreads, conversion fees, network fees, withdrawal fees, and other charges. The applicable fees for each transaction will be disclosed to you before you confirm the transaction.
We reserve the right to modify our fee schedule at any time. We will provide notice of material fee changes in accordance with applicable law. Continued use of the Services after a fee change constitutes your acceptance of the updated fees.
In addition to our fees, blockchain transactions are subject to network fees (sometimes called "gas fees" or "miner fees") that are determined by the relevant blockchain network and are outside of Coin Nerds' control. Network fees may fluctuate significantly based on network congestion and demand. Estimated network fees displayed at the time of transaction may differ from the actual fees charged by the network. Network fees are non-refundable once a transaction has been broadcast to the blockchain.
Foreign exchange transactions are subject to exchange rates that may include a markup. The applicable exchange rate will be disclosed to you before you confirm each transaction.
You are solely responsible for determining and paying any taxes applicable to your transactions. Coin Nerds does not provide tax advice and is not responsible for determining whether taxes apply to your transactions, or for collecting, reporting, withholding, or remitting any taxes arising from any transactions, except where required by applicable law.
7. Transaction Terms
When you initiate a transaction through our Services, you authorize Coin Nerds to execute the transaction on the terms presented to you, including the applicable price, fees, and exchange rate. Once you confirm a transaction, it may not be reversed, cancelled, or modified except as expressly permitted by these Terms or required by applicable law.
Irreversibility of Blockchain Transactions
Cryptocurrency transactions that have been broadcast to a blockchain network are irreversible. Coin Nerds cannot reverse, cancel, or recover cryptocurrency that has been sent to an incorrect address, sent to an incompatible network, or otherwise incorrectly transmitted. You are solely responsible for verifying all transaction details, including recipient addresses and network compatibility, before confirming any transaction.
Transaction Processing
We will use commercially reasonable efforts to process your transactions promptly. However, transaction processing times may vary depending on blockchain network conditions, banking system processing times, regulatory requirements, and other factors outside our control. We do not guarantee specific processing times unless expressly stated.
Transaction Limits
We may impose transaction limits on your account based on your verification level, risk profile, regulatory requirements, or other factors. We reserve the right to modify these limits at any time.
8. Regulatory Compliance
Coin Nerds is a licensed and registered financial services provider. We are registered with the Financial Crimes Enforcement Network (FinCEN) as a Money Services Business in the United States and with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) as a Money Services Business in Canada. We hold state money transmitter licenses as required in applicable US jurisdictions. Details of our registrations and licenses are available on our Licenses page.
You acknowledge and agree that:
- We are required by law to collect, verify, and retain information about you and your transactions for AML/KYC compliance purposes under the Bank Secrecy Act (US), the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada), the Money Laundering Regulations (UK), and other applicable laws;
- We may be required to file reports with regulatory authorities, including Suspicious Activity Reports, Currency Transaction Reports, and Large Virtual Currency Transaction Reports, and we are prohibited by law from disclosing the existence of such reports to you;
- We screen all users and transactions against applicable sanctions lists, including the OFAC Specially Designated Nationals List, the UK Sanctions List, and Canadian sanctions lists, and we use blockchain analytics tools to monitor transactions for compliance;
- We may delay, block, freeze, or refuse any transaction, and we may restrict, suspend, or close any account, where we reasonably believe it is necessary to comply with applicable laws, regulations, or court orders, or to prevent fraud, money laundering, terrorist financing, sanctions violations, or other illegal activity;
- We share originator and beneficiary information with counterparty financial institutions and virtual asset service providers as required by the FATF Travel Rule and its implementation in applicable jurisdictions; and
- Regulatory retention obligations require us to retain your personal information and transaction records for a minimum of seven (7) years, even after account closure, which may override deletion requests under privacy laws.
9. Automated Decision-Making
We use automated systems to make certain decisions that may affect your account or access to our Services, including account approval or denial, transaction blocking or flagging, assignment of service tiers and transaction limits, and account suspension or restriction. These automated decisions are based on risk scoring, regulatory screening, fraud detection, and compliance algorithms.
You have the right to request information about automated decisions that affect you, to make representations, and to request human review of any automated decision. To exercise these rights, contact us at [email protected]. Additional rights may apply depending on your jurisdiction as described in our Privacy Policy.
10. Prohibited Activities
You agree not to use the Services for, or in connection with, any of the following:
- Any activity that violates any applicable law, regulation, or order, including AML, sanctions, securities, tax, or consumer protection laws;
- Money laundering, terrorist financing, proliferation financing, tax evasion, or fraud;
- Transacting with or on behalf of any person or entity subject to sanctions, or any person or entity located in a sanctioned jurisdiction;
- Purchasing or selling illegal goods or services, including drugs, weapons, counterfeit goods, stolen property, or child exploitation material;
- Market manipulation, wash trading, layering, spoofing, or any other form of market abuse;
- Operating an unlicensed money transmission, exchange, or financial services business through your Coin Nerds account;
- Using the Services to circumvent transaction limits, identity verification requirements, or other controls;
- Accessing the Services from a sanctioned jurisdiction using VPNs, proxies, or other means to disguise your location;
- Interfering with, disrupting, or attempting to gain unauthorized access to our systems, networks, or other users' accounts;
- Reverse engineering, decompiling, or disassembling any aspect of our Services or technology; or
- Using automated means (bots, scrapers, crawlers) to access the Services without our prior written consent, except for publicly available APIs used in accordance with our API terms.
11. Forks, Airdrops, and Network Events
Cryptocurrency networks may undergo protocol changes, including hard forks, soft forks, airdrops, or other network events that may result in the creation of new or additional tokens. Coin Nerds will evaluate such events on a case-by-case basis and, at its sole discretion, determine whether to support or distribute any resulting tokens.
You acknowledge and agree that:
- Coin Nerds has no obligation to support any particular fork, airdrop, or network event;
- If Coin Nerds determines not to support a fork or airdrop, you may not receive the resulting tokens;
- Coin Nerds may temporarily suspend deposits, withdrawals, or trading for an affected cryptocurrency during a network event; and
- Airdropped tokens or forked tokens may have tax consequences in your jurisdiction, and you are solely responsible for determining and paying any applicable taxes.
12. Intellectual Property
All content, trademarks, service marks, trade names, logos, software, and other intellectual property displayed on or through the Services are the property of Coin Nerds or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. This license does not include the right to: copy, modify, or distribute any content from the Services; use any data mining, robots, or similar data gathering tools; or use the Services for any commercial purpose without our prior written consent.
13. Third-Party Services
Our Services may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Coin Nerds. We are not responsible for the content, privacy policies, terms of service, or practices of any third-party services. Your interactions with third-party services are governed by their own terms and policies. We encourage you to review the terms and privacy policies of any third-party services before using them.
14. Account Suspension, Restriction, and Termination
We may restrict, suspend, or terminate your account and access to the Services, in whole or in part, immediately and without prior notice, if:
- We reasonably believe you have violated these Terms or any applicable law;
- We are required to do so by applicable law, regulation, or court order;
- We reasonably suspect your account is being used for fraud, money laundering, terrorist financing, or other illegal activity;
- You fail to provide information or documentation requested for verification purposes within a reasonable timeframe;
- We detect unauthorized access to your account; or
- We determine that continued provision of Services to you would expose Coin Nerds to unacceptable risk.
Upon termination of your account, we will return any funds or cryptocurrency held in your account to you, less any applicable fees, pending transactions, or amounts owed to Coin Nerds, subject to regulatory holds and applicable law. We may retain your personal information and transaction records as required by applicable regulatory retention obligations.
You may close your account at any time by contacting us at [email protected]. Account closure is subject to the completion of any pending transactions and applicable regulatory requirements.
15. User Representations and Warranties
By using our Services, you represent and warrant that:
- All information you have provided to us is truthful, accurate, and complete;
- You will maintain the accuracy of your information and promptly update it as necessary;
- You will use the Services only for lawful purposes and in compliance with these Terms;
- The funds and cryptocurrency you use with our Services are not derived from illegal activity;
- You will not use the Services to engage in any prohibited activity listed in Section 10;
- You have sufficient knowledge and experience to understand the risks associated with cryptocurrency, foreign exchange, and money transfer transactions; and
- You are not acting on behalf of any third party unless you have disclosed this to us and received our authorization.
16. Risk Disclosures and Assumption of Risk
You acknowledge and accept the following risks associated with the use of our Services. This is not an exhaustive list of risks.
Cryptocurrency Is Not Legal Tender
Cryptocurrency is not legal tender in the United States, Canada, the United Kingdom, or any other jurisdiction (unless expressly designated by law). Cryptocurrency is not issued, backed, or guaranteed by any government or central bank.
No Deposit Insurance
Cryptocurrency held in your Coin Nerds account is not a bank deposit and is not insured or protected by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), the Canada Deposit Insurance Corporation (CDIC), the Financial Services Compensation Scheme (FSCS), or any other deposit insurance or investor protection scheme.
Market Volatility
Cryptocurrency markets are highly volatile. The value of cryptocurrency can fluctuate significantly over short periods of time. You may lose some or all of your investment. Past performance is not indicative of future results. You should not invest more than you can afford to lose.
Blockchain and Technology Risks
Blockchain technology is subject to risks including but not limited to: protocol vulnerabilities and exploits, smart contract bugs, network congestion and delays, consensus mechanism failures, 51% attacks, and the experimental nature of distributed ledger technology. These risks could result in the loss of your cryptocurrency or the inability to access your funds.
Regulatory Risk
Legislative and regulatory changes at the local, national, or international level may adversely affect the use, transfer, exchange, or value of cryptocurrency. Regulatory actions may restrict or prohibit certain cryptocurrency activities in your jurisdiction without prior notice.
Foreign Exchange Risk
Foreign exchange rates fluctuate constantly. You may incur losses due to unfavorable exchange rate movements between the time you initiate and the time a transaction is completed.
Irreversibility
Blockchain transactions are irreversible once confirmed on the network. Errors in recipient address, amount, or network selection cannot be corrected after a transaction is broadcast. Coin Nerds cannot recover cryptocurrency sent to an incorrect or incompatible address.
No Investment Advice
Coin Nerds does not provide investment, financial, tax, or legal advice. Nothing in our Services or communications constitutes a recommendation, solicitation, or offer to buy, sell, or hold any cryptocurrency, security, or financial instrument. You should consult your own professional advisors before making any financial decisions.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COIN NERDS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF COIN NERDS AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW, INCLUDING UNDER THE UK CONSUMER RIGHTS ACT 2015, THE UK UNFAIR CONTRACT TERMS ACT 1977, OR APPLICABLE CANADIAN PROVINCIAL CONSUMER PROTECTION LEGISLATION; OR (D) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED.
IF YOU ARE A CONSUMER IN THE UNITED KINGDOM OR EUROPEAN ECONOMIC AREA, YOUR STATUTORY RIGHTS UNDER APPLICABLE CONSUMER PROTECTION LAW ARE NOT AFFECTED BY THESE TERMS.
18. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COIN NERDS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, COIN NERDS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING: THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY MARKET DATA, PRICE INFORMATION, OR OTHER CONTENT PROVIDED THROUGH THE SERVICES; THE VALUE, STABILITY, OR LIQUIDITY OF ANY CRYPTOCURRENCY; OR THE PERFORMANCE OF ANY BLOCKCHAIN NETWORK.
THIS SECTION DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. IF YOU ARE A CONSUMER IN THE UNITED KINGDOM, THE EUROPEAN ECONOMIC AREA, OR CANADA, YOUR STATUTORY WARRANTY RIGHTS ARE NOT AFFECTED.
19. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Coin Nerds, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any content or information you submit through the Services.
This indemnification obligation does not apply to the extent that the claim arises from the negligence, wilful misconduct, or breach of these Terms by Coin Nerds. If you are a consumer in the United Kingdom, the European Economic Area, or Canada, this indemnification clause applies only to the extent permitted by applicable consumer protection law.
20. Governing Law
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws applicable to your contracting entity:
- United States: The laws of the State of Delaware, without regard to its conflict of laws principles. Subject to the arbitration provisions in Section 22, the exclusive jurisdiction for any disputes shall be the state and federal courts located in Delaware.
- Canada: The laws of the Province of Alberta and the federal laws of Canada applicable therein. The courts of Alberta shall have non-exclusive jurisdiction over any disputes. Mandatory consumer protection provisions of your province of residence apply to the extent required by law.
- United Kingdom and European Economic Area: The laws of England and Wales. The courts of England and Wales shall have non-exclusive jurisdiction over any disputes. If you are a consumer, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other mandatory consumer protection laws.
- Rest of the World: The laws of the Republic of Seychelles.
21. Dispute Resolution (All Users)
If you have a dispute with Coin Nerds, we encourage you to contact us first at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve your complaint within thirty (30) days.
For UK residents, if we are unable to resolve your complaint, you may be entitled to refer the matter to the Financial Ombudsman Service or the Information Commissioner's Office (for data protection matters).
For Canadian residents, you may contact the Office of the Privacy Commissioner of Canada, your provincial privacy commissioner, or your provincial consumer protection authority.
For US residents, see the binding arbitration provisions in Section 22 below.
22. Binding Arbitration and Class Action Waiver (US Residents Only)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Binding Arbitration
If you are a US resident, any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") that cannot be resolved through the informal dispute resolution process described in Section 21 shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will be conducted in the English language. The arbitration may be conducted in the county where you reside or in another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Either party may bring a qualifying claim in small claims court as an alternative to arbitration. If the claim is subsequently removed to or appealed from small claims court, the arbitration agreement shall apply.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND COIN NERDS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. All Disputes shall be resolved on an individual basis. No arbitration or proceeding shall be joined with any other, and there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class-action procedures.
Exceptions
This arbitration agreement does not preclude either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.
Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, you and Coin Nerds agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of Disputes.
Canadian and UK Residents
This Section 22 does not apply to residents of Canada or the United Kingdom. In Canada, mandatory arbitration clauses and class action waivers in consumer agreements are unenforceable under applicable provincial consumer protection legislation. In the United Kingdom, your statutory rights and access to the courts are not affected by these Terms.
23. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our Sites with a new effective date, and we will notify you via email or through a notice in our Services at least thirty (30) days before the changes take effect (or such longer period as required by applicable law). Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and close your account.
For users in Quebec, Canada, and the European Economic Area, material changes to these Terms may require your affirmative acceptance before they take effect. In such cases, we will request your acceptance through the Services.
24. Electronic Communications and Consent
By using our Services, you consent to receiving communications from us electronically, including by email and through notices posted on the Services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law. This consent does not affect your statutory rights under the Electronic Signatures in Global and National Commerce Act (E-SIGN), the UK Electronic Commerce (EC Directive) Regulations 2002, or applicable Canadian provincial legislation governing electronic contracts.

25. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or documents incorporated herein by reference, constitute the entire agreement between you and Coin Nerds with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. In the event of any conflict between these Terms and any other Coin Nerds agreement or policy, these Terms shall prevail unless the other agreement expressly states otherwise.
Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent, or if modification is not possible, it shall be severed from these Terms.
No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Coin Nerds.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Coin Nerds. Coin Nerds may assign or transfer these Terms, in whole or in part, without your consent, to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided that the assignee agrees to be bound by these Terms.
Force Majeure
Coin Nerds shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, blockchain network disruptions, internet outages, cyberattacks, or failures of third-party service providers.
Survival
The following sections shall survive any termination or expiration of these Terms: Sections 6 (Fees), 8 (Regulatory Compliance), 10 (Prohibited Activities), 12 (Intellectual Property), 15 (User Representations), 16 (Risk Disclosures), 17 (Limitation of Liability), 18 (Disclaimers), 19 (Indemnification), 20 (Governing Law), 22 (Arbitration), and this Section 25.
Language
These Terms are drafted in English. To the extent any translated version of these Terms conflicts with the English version, the English version shall prevail, except where prohibited by applicable law. For users in Quebec, Canada, a French-language version of these Terms may be made available, and in the event of a conflict, the French version shall prevail to the extent required by Quebec's Charter of the French Language.
